General Terms and Conditions

Sirius Society UG (haftungsbeschränkt)
Last updated: October 2026

1. Scope and Contracting Party

1.1 These General Terms and Conditions (“Terms and Conditions”) apply to all orders placed by consumers via the online shop operated by:

Sirius Society UG (haftungsbeschränkt)
Riller Bruch 4
46519 Alpen
Germany

Managing Director: Mustafa Yildiz
Commercial Register: Local Court of Kleve, HRB 21393
Email: hello@siriussociety.com

hereinafter referred to as “Sirius Society”, “we” or “us”.

1.2 A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or self-employed professional activity.

1.3 Our range of goods is intended for consumers.

1.4 Any deviating terms and conditions of the customer shall not apply unless we have expressly agreed to their application.

2. Conclusion of the Contract

2.1 The presentation of products in our online shop does not constitute a legally binding offer to enter into a purchase contract, but rather an invitation to the customer to place an order.

2.2 The customer may select products and add them to the shopping basket. Before submitting the order, the customer may view, review and, where necessary, correct the order details.

2.3 By clicking the button to submit an order that entails an obligation to pay, the customer makes a binding offer to purchase the goods contained in the shopping basket.

In the case of a consumer contract involving an obligation to pay, the customer must expressly confirm that the order entails an obligation to pay. Where this is done via a button, the button must be labelled “order with obligation to pay” or with an equivalently clear wording.

2.4 The purchase contract is concluded when Sirius Society sends the order confirmation to the email address provided by the customer.

2.5 Following conclusion of the contract, the customer will receive the information relevant to their order electronically.

2.6 The language available for the conclusion of the contract is German.

3. Prices and Shipping Costs

3.1 The prices stated in the online shop are total prices and include the applicable statutory value added tax (VAT), where applicable.

3.2 Shipping costs may be charged in addition to the stated product price. The applicable shipping costs will be displayed to the customer in the online shop and no later than before the order is submitted.

3.3 Deliveries to countries outside the European Union may be subject to additional customs duties, import charges or taxes. These are not levied by Sirius Society and, where applicable, must be paid by the customer to the relevant authorities or other competent bodies.

4. Payment Terms

4.1 The payment methods displayed during the respective checkout process are available to the customer for the relevant order.

Depending in particular on the country of delivery and the availability of the respective payment service provider, Sirius Society may offer the following payment methods:

  • Shop Pay
  • Visa
  • Mastercard
  • American Express
  • Maestro
  • UnionPay
  • Apple Pay
  • Google Pay
  • USDC
  • Alipay
  • Bancontact
  • Bizum
  • BLIK
  • EPS
  • iDEAL / Wero
  • Klarna
  • MB WAY
  • MobilePay
  • Przelewy24
  • Satispay
  • Scalapay
  • TWINT
  • WeChat Pay

4.2 The payment methods actually made available to the customer during the respective ordering process shall apply. The customer is not entitled to the availability of any particular payment method.

4.3 The purchase price becomes due upon conclusion of the contract, unless otherwise specified for the respective payment method.

4.4 Where an external payment service provider is used, that provider’s terms of use and payment terms may additionally apply.

The wording in Sections 4.1 and 4.2 is intentionally dynamic. This means that the Terms and Conditions do not need to be amended every time Shopify, for example, introduces Satispay or a particular payment method is unavailable in a specific country. From a legal perspective, it is particularly relevant that the accepted means of payment are clearly indicated no later than at the beginning of the ordering process.

5. Delivery Areas and Delivery

5.1 Sirius Society currently delivers to the following countries:

  • Germany
  • Austria
  • Belgium
  • Bulgaria
  • Croatia
  • Cyprus
  • Czech Republic
  • Denmark
  • Estonia
  • Finland
  • France

  • Poland
  • Portugal
  • Romania
  • Slovakia
  • Slovenia
  • Spain
  • Sweden
  • Switzerland
  • Türkiye
  • United Kingdom
  • United States of America

5.2 The shipping costs applicable to an order and the estimated delivery time will be displayed to the customer in the online shop and/or during the ordering process.

5.3 Any delivery restrictions will be displayed to the customer no later than at the beginning of the ordering process.

This also corresponds to the requirement under Section 312j(1) of the German Civil Code (BGB), according to which delivery restrictions must be clearly indicated no later than at the beginning of the ordering process.

5.4 If not all products ordered are available at the same time, we may make partial deliveries where this is reasonable for the customer. The customer will not incur any additional shipping costs as a result.

5.5 If an ordered item is exceptionally unavailable, we will inform the customer accordingly. Any payments already made for items that cannot be delivered will be refunded.

6. Retention of Title

The goods delivered remain the property of Sirius Society until the respective purchase price has been paid in full.

7. Right of Withdrawal

7.1 Consumers are generally entitled to a statutory right of withdrawal in respect of distance contracts.

7.2 The withdrawal period is 14 days. Details regarding the commencement and exercise of the right of withdrawal and its legal consequences are set out in our separate Withdrawal Policy.

The statutory withdrawal period is generally 14 days. In the case of goods, it generally begins when the consumer, or a third party designated by the consumer who is not the carrier, takes possession of the goods. Section 356 BGB contains specific provisions relating to separate deliveries.

7.3 Beyond the statutory right of withdrawal, Sirius Society does not grant any additional voluntary right of return, unless expressly stated otherwise in an individual case.

Cost of Return Shipping

7.4 The customer shall bear the direct costs of returning the goods in the event of withdrawal.

This is permissible where the consumer has been properly informed that they are required to bear these costs. Section 357(5) BGB expressly provides that the consumer shall bear the direct costs of returning the goods where the trader has informed the consumer accordingly.

Important: This statement should therefore also be included in your Withdrawal Policy, rather than solely in the Terms and Conditions.

8. Reversal of the Contract Following Withdrawal

In the event of a valid withdrawal, the reversal of the contract, reimbursement of the purchase price and return of the goods shall be governed by the statutory provisions and our Withdrawal Policy.

To the extent permitted by law, Sirius Society may withhold reimbursement until the returned goods have been received or the customer has provided evidence that the goods have been returned. Section 357 BGB expressly provides for this possibility in relation to consumer sales contracts.

Reimbursement will generally be made using the same means of payment used by the customer for the original transaction, unless expressly agreed otherwise and provided that the customer does not incur any costs as a result.

9. Statutory Rights in Respect of Defects

9.1 The statutory rights in respect of defects shall apply.

9.2 If the goods delivered are defective, the customer shall be entitled to the statutory remedies, including in particular the right to subsequent performance and, where the relevant statutory requirements are met, the further statutory remedies available in respect of defects.

The German Civil Code requires the seller to deliver goods free from material defects and defects in title. Section 434 BGB specifies in greater detail when goods are deemed to be free from material defects. The buyer’s rights in the event of defects arise in particular from Section 437 BGB.

10. Product Presentation and Product Information

10.1 Sirius Society endeavours to present the products offered in the online shop as accurately and faithfully as possible.

10.2 In particular, the representation of colours may vary slightly from the actual colour of a product depending on the device, screen and display settings used.

10.3 The product information and descriptions applicable to the respective product shall determine the agreed characteristics of the goods.

For Sirius Society in particular, this clause is useful because colours, leather surfaces and product photography may be important factors in customers’ purchasing decisions. However, it is not intended to permit deviations from characteristics that have actually been contractually agreed. The characteristics of the goods form part of the statutory assessment of whether goods are defective.

11. Liability

11.1 Sirius Society shall be liable without limitation in cases of intent and gross negligence and in cases of mandatory statutory liability.

11.2 In the event of a slightly negligent breach of material contractual obligations, liability shall, subject to mandatory statutory liability, be limited to losses that are typical for the contract and reasonably foreseeable.

11.3 The above limitations of liability shall not apply to damages arising from injury to life, body or health or in cases where more extensive liability is mandatorily required by law.

11.4 To the extent that the liability of Sirius Society is excluded or limited, such exclusion or limitation shall apply accordingly to the legal representatives and agents engaged in the performance of Sirius Society’s obligations.

12. Promotional Codes and Discounts

12.1 Where Sirius Society offers promotional, voucher or discount codes, the terms communicated in connection with the respective promotion shall apply.

12.2 Promotional and discount codes may, in particular, be limited in time or restricted to certain products.

12.3 Unless otherwise specified as part of the respective promotion, multiple promotional or discount codes may not be combined.

12.4 The customer’s statutory rights shall remain unaffected.

13. Customer Account

13.1 Where the online shop offers the option of creating a customer account, the customer must provide complete and accurate information when registering.

13.2 The customer is required to take appropriate measures to protect their login details from unauthorised access by third parties.

13.3 The option to use a customer account does not affect the rights and obligations arising from individual orders.

14. Intellectual Property

The content published in the online shop, including in particular texts, photographs, product images, graphics, logos, trade marks, designs and other content, may be protected by copyright, trade mark rights or other intellectual property rights.

Any use of such content beyond the extent permitted by law requires the consent of the respective rights holder.

15. Consumer Dispute Resolution

Sirius Society is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

This statement reflects your instruction that Sirius Society does not participate in such proceedings. Section 36 of the German Consumer Dispute Resolution Act (VSBG) generally provides for information as to whether a business is willing or obliged to participate in dispute resolution proceedings. For businesses that employed ten or fewer persons as at 31 December of the preceding year, Section 36(3) VSBG provides for an exception to the information obligation under Section 36(1) no. 1.

I would nevertheless include the sentence above, as it provides clarity for customers.

16. Governing Law

16.1 The contractual relationship between Sirius Society and the customer shall be governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

16.2 In relation to consumers, this choice of law shall apply only insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of the country in which they have their habitual residence.

17. Final Provisions

Should individual provisions of these Terms and Conditions be or become wholly or partially invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The relevant statutory provisions shall apply in place of the invalid or unenforceable provision.
